Reviko Terms of Service

These Terms of Service (“Terms”) govern access to and use of Reviko, a customer loyalty technology platform operated by 77 Studio LLC, a Florida limited liability company (“77 Studio,” “Reviko,” “we,” “us,” or “our”). By accessing or using Reviko, you agree to these Terms.

1. Eligibility

Reviko is intended only for individuals who are 18 years of age or older. By using Reviko, you represent and warrant that you are at least 18 years old and have legal capacity to enter into a binding agreement.

Merchants must ensure that persons authorized to administer their Reviko account are at least 18 years old.

2. About Reviko

Reviko provides technology that enables businesses to create and manage digital loyalty, rewards, membership, points, visit-based, and promotional programs. Reviko may allow customers to add digital loyalty passes to Apple Wallet and Google Wallet.

Reviko provides technology infrastructure. Unless expressly stated otherwise, Reviko is not the seller or provider of goods, services, discounts, rewards, or benefits offered by participating Merchants.

3. Accounts

You must provide accurate and current information when creating or using an account. You are responsible for maintaining the confidentiality of account credentials and for activities performed through your account.

4. Merchant Loyalty Programs

Each Merchant independently determines the rules of its loyalty program, including earning requirements, qualifying purchases or visits, reward thresholds, redemption requirements, expiration terms, participating locations, and limitations.

Customers are subject to these Terms and the applicable Merchant loyalty program terms.

5. Points, Visits and Rewards

Unless a Merchant expressly states otherwise, points, visits, stamps, credits, or similar loyalty metrics:

• have no cash value;
• are not currency, deposits, stored value, or financial instruments;
• do not accrue interest;
• may not be exchanged for cash;
• may not be transferred except where expressly allowed by the Merchant; and
• may only be redeemed according to the applicable program rules.

6. Merchant Responsibility

Rewards are offered and fulfilled by the applicable Merchant. Reviko may track eligibility, balances, points, visits, or redemption status, but Reviko is not responsible for a Merchant’s refusal to honor a reward, product availability, service quality, or disputes between Merchants and Customers.

7. Apple Wallet and Google Wallet

Reviko may enable loyalty passes to be added to Apple Wallet and Google Wallet. Apple Inc. and Google LLC are independent third parties and are not responsible for Reviko or Merchant loyalty programs.

Use of those services is subject to their respective terms, policies, device requirements, and availability.

8. Subscription Plans

Reviko currently offers the following monthly Merchant plans:

Reviko may modify plan features or pricing prospectively. Material pricing changes will be communicated before they take effect for an existing subscription, as required by applicable law.

9. Free Trial

Reviko may offer a 7-day free trial. A valid payment method is required to begin the trial.

Unless the Merchant cancels before the end of the trial period, the selected paid subscription will begin automatically when the trial ends and the payment method on file will be charged the applicable monthly subscription fee.

A Merchant may cancel during the trial at any time without subscription charges.

10. Automatic Renewal

Paid subscriptions renew automatically each month until canceled.

By starting a paid subscription or allowing a trial to convert to a paid subscription, the Merchant authorizes Reviko and its payment processor to charge the applicable recurring subscription fee to the payment method on file.

11. Cancellation

A Merchant may cancel at any time through the available account or billing controls.

If a paid subscription is canceled, cancellation takes effect at the end of the then-current billing period. The Merchant may continue using the paid service through that date.

If a free trial is canceled before the trial ends, no paid subscription fee will be charged.

12. Refunds and Proration

Except where required by applicable law, subscription payments are non-refundable and Reviko does not provide prorated refunds or credits for partially used billing periods.

Because cancellation takes effect at the end of the current paid billing period, the Merchant retains access to paid features through that period.

13. Payment Processing

Payments are processed through third-party payment providers, including Stripe. Reviko does not store complete payment card details when those details are handled directly by the payment processor.

The Merchant is responsible for maintaining a valid payment method.

14. Messaging and Fair Use

Certain plans may include WhatsApp, SMS, email, automation, or messaging capabilities.

These capabilities are subject to reasonable Fair Use limits, technical safeguards, anti-abuse controls, applicable law, and policies or limitations imposed by third-party messaging providers.

Reviko may limit, suspend, throttle, or restrict unusually high-volume, abusive, fraudulent, unlawful, or technically harmful usage. Reviko will not impose undisclosed usage charges unless the Merchant affirmatively agrees to them.

15. Pass Updates

Reviko may update information displayed within supported passes, including loyalty balances, visits, rewards, membership status, offers, and program information.

16. Communications

Customers and Merchants may receive service-related communications necessary to operate Reviko, including confirmations, security notices, billing notices, program changes, reward notifications, and pass updates.

Marketing communications will be handled separately and only as permitted by applicable law.

17. Acceptable Use

You may not:

• create fraudulent accounts;
• manipulate points, visits, rewards, QR codes, NFC identifiers, or redemption records;
• interfere with Reviko systems;
• access accounts or data without authorization;
• introduce malware or malicious code;
• use automated tools to abuse the platform;
• use Reviko for unlawful activity; or
• violate applicable Apple, Google, Meta, Stripe, messaging provider, or other third-party platform policies.

18. Fraud Prevention

Reviko and Merchants may monitor activity for fraud, abuse, manipulation, or unauthorized activity. Accounts, passes, points, rewards, or transactions may be suspended or invalidated where there is a reasonable basis to believe fraud or misuse occurred.

19. Intellectual Property

Reviko, its software, interfaces, branding, design, systems, and proprietary materials are owned by or licensed to 77 Studio LLC.

Merchants retain ownership of their names, trademarks, logos, and content, subject to the limited license granted under the Reviko Merchant Terms.

20. Service Availability

Reviko does not guarantee uninterrupted or error-free service. Availability may be affected by maintenance, software updates, internet connectivity, third-party providers, Apple services, Google services, Meta services, infrastructure providers, or events outside our reasonable control.

21. Suspension and Termination

Reviko may suspend or terminate access where reasonably necessary due to violations of these Terms, fraud, security risks, unlawful activity, abusive use, non-payment, legal requirements, or violations of third-party platform policies.

When a Merchant subscription ends:

• no new customers or loyalty passes may be issued under the inactive subscription;
• new automations and operational features may stop;
• Merchant dashboard access may be restricted or disabled;
• existing passes may be updated to indicate that the program is inactive; and
• the Merchant remains responsible for rewards or obligations already earned where required by applicable law or the Merchant’s own program terms.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIKO IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. 77 STUDIO LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 77 STUDIO LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

Nothing in these Terms limits liability that cannot lawfully be limited.

24. Indemnification

Merchants agree to defend, indemnify, and hold harmless 77 Studio LLC and its affiliates, officers, employees, contractors, and agents from claims arising from the Merchant’s loyalty program, Merchant products or services, Merchant rewards, Merchant-provided content, violations of law, infringement of third-party rights, or misuse of Customer data.

25. Privacy

Use of Reviko is subject to the Reviko Privacy Policy.

26. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Subject to any rights that cannot legally be waived, disputes arising from these Terms shall be brought in the state or federal courts located in Miami-Dade County, Florida.

27. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through reasonable means and will apply prospectively as required by applicable law.
